SOBDAR IT Solutions ("Company", "We", "Us", or "Our") provides web development, AI chatbot development, digital marketing, API integration, and related IT services. These terms apply to all visitors, users, and clients of our services.
Scope of Services
We provide a range of IT solutions including but not limited to:
- Custom website design and development
- E-commerce website development
- AI chatbot development and integration
- WhatsApp, Facebook, and social media marketing automation
- API development and integration
- Search Engine Optimization (SEO)
- Graphics and brand identity design
- IT consulting and technical support
The specific scope, deliverables, timeline, and pricing for each project will be defined in a separate written agreement or proposal accepted by the client prior to the commencement of work.
Payment Terms
Payment terms are agreed upon in the project proposal or contract before work begins. Unless otherwise specified:
- A minimum of 50% advance payment is required before the commencement of any project.
- The remaining 50% is due upon project completion and before final delivery of source files or deployment.
- For retainer or monthly services, payment is due at the beginning of each billing cycle.
- All payments are non-refundable unless otherwise stated in the cancellation section below.
Accepted payment methods include bank transfer, online payment platforms, and any other method agreed upon in writing. Late payments may incur a late fee of 2% per month on the outstanding balance.
Refund and Cancellation Policy
We value your satisfaction. However, given the nature of digital services:
- Refund requests must be made within 7 days of the initial payment.
- If work has already commenced on the project, a partial refund may be issued based on the percentage of work completed at the time of cancellation.
- Once the final deliverables have been submitted and approved, no refunds will be issued.
- Recurring services (such as monthly marketing or maintenance) may be cancelled with 15 days' written notice before the next billing cycle.
- Any third-party costs incurred on behalf of the client (such as hosting fees, domain purchases, or API charges) are non-refundable.
Intellectual Property
Upon full payment of all project fees:
- The client receives full ownership of the final deliverables, including website source code, design files, and content created specifically for the project.
- SOBDAR IT Solutions retains the right to display the completed work in its portfolio and marketing materials unless otherwise agreed in writing.
- Any third-party libraries, frameworks, or assets used in the project remain subject to their original licenses.
- The client is responsible for ensuring that any content they provide (text, images, logos) does not infringe on third-party intellectual property rights.
Client Responsibilities
To ensure timely and successful project delivery, the client agrees to:
- Provide all necessary content, materials, and access credentials in a timely manner.
- Designate a single point of contact for feedback and approvals.
- Review and provide feedback on deliverables within the agreed review periods.
- Ensure that all content provided complies with applicable laws and does not infringe on third-party rights.
Delays caused by the client in providing materials or feedback may result in adjusted timelines and additional costs, which will be communicated in advance.
Warranty Disclaimer
Our services are provided on an "as is" and "as available" basis. While we strive to deliver high-quality work, we make no warranties or guarantees, including but not limited to:
- Uninterrupted or error-free operation of websites or applications.
- Specific business outcomes, revenue, or traffic results from marketing or SEO services.
- Compatibility with all browsers, devices, or third-party services not explicitly specified in the project scope.
- Freedom from security vulnerabilities, though we implement industry-standard security practices.
Limitation of Liability
To the maximum extent permitted by applicable law:
- SOBDAR IT Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services.
- Our total liability for any claim arising from or related to our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim.
- We are not responsible for losses caused by third-party services, hosting providers, domain registrars, or platform changes beyond our control.
Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of the business relationship. This includes, but is not limited to, business strategies, technical specifications, source code, customer data, and financial information. This obligation survives the termination of the business relationship.
Termination
Either party may terminate the agreement under the following conditions:
- The client may terminate at any time with 15 days' written notice. Payment for work completed up to the termination date will be due immediately.
- SOBDAR IT Solutions may terminate the agreement if the client breaches any material term, fails to make payments, or engages in conduct that is harmful to the Company. In such cases, all outstanding payments become immediately due.
- Upon termination, all completed work and deliverables up to that point will be delivered to the client upon payment of outstanding fees.
Dispute Resolution
In the event of any dispute arising from or related to these terms or our services:
- Both parties agree to first attempt to resolve the dispute through good-faith negotiation.
- If negotiation fails, the dispute shall be submitted to mediation before pursuing any other legal remedy.
- Any legal proceedings must be initiated within one year of the dispute arising.
Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of Pakistan. Any legal action or proceeding shall be brought exclusively in the courts of Hyderabad, Sindh, Pakistan.
Modifications
We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on this page with an updated "Last updated" date. Your continued use of our services after any changes constitutes your acceptance of the new terms. We encourage you to review this page periodically.
